Terms of Service

1. Acceptance

By accessing or using Distrolens ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you and ORFEO ("we", "us", "our").

2. Description of service

Distrolens provides access to a curated database of pharmaceutical and medtech distributors across emerging markets, including company profiles, contact information, and regulatory data. Data is sourced from public regulatory registries and is provided for commercial intelligence purposes only.

3. Account registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@distrolens.com if you suspect unauthorised access.

4. Subscriptions and billing

  • Subscriptions are billed monthly in advance via Stripe.
  • All fees are non-refundable except where required by law.
  • We reserve the right to change pricing with 30 days' notice to active subscribers.
  • Failure to pay will result in suspension and eventual termination of your account.
  • Existing pilots and grandfathered rates are honoured for their stated duration.

5. Permitted use

You may use the Service solely for lawful commercial intelligence purposes, including:

  • Identifying potential distribution partners in your target markets.
  • Conducting due diligence on distributor candidates.
  • Internal market entry planning.

You may not:

  • Resell, sublicense, or redistribute Distrolens data to third parties.
  • Use the Service to build a competing product or dataset.
  • Scrape or bulk-export data beyond what your plan allows.
  • Use contact data for unsolicited mass marketing in violation of applicable law (CAN-SPAM, GDPR, etc.).
  • Attempt to circumvent access controls or reverse-engineer the platform.

6. Data accuracy

We make reasonable efforts to keep data accurate and current. However, distributor information changes frequently. The Service is provided "as is" without warranty of accuracy, completeness, or fitness for a particular purpose. You are responsible for independently verifying any data before acting on it.

7. Intellectual property

All platform code, design, and compiled database content are proprietary to ORFEO. Individual data points sourced from public regulatory registries remain in the public domain. You receive a limited, non-exclusive, non-transferable licence to access the Service during your subscription period.

8. Limitation of liability

To the maximum extent permitted by law, ORFEO's total liability arising from or related to the Service is limited to the fees you paid in the 3 months immediately preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate the subscription at any time. You may cancel via your billing portal. We may suspend or terminate accounts that violate these Terms, with or without notice. On termination, your access ends immediately and we may delete your account data after 30 days.

10. Governing law

These Terms are governed by the laws of Switzerland. Disputes shall be resolved in the courts of Zurich, Switzerland, unless you are a consumer in a jurisdiction with mandatory local jurisdiction rules.

11. Changes to these terms

We may update these Terms. Material changes will be communicated by email to active subscribers at least 14 days before taking effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
